By-Laws of the Greater Hartford African American Alliance
ARTICLE ONE: NAME AND TYPE
Section 1.0

The name of the organization is the GREATER HARTFORD AFRICAN AMERICAN ALLIANCE 
Section 2.0
The Greater Hartford African American Alliance is an unincorporated, nonpartisan alliance of individuals and organizations joined together to share information, design strategies, and advocate for actions that benefit the African American communities within the Greater Hartford area.

ARTICLE 2: OBJECTIVES

Section 1.0

To enhance the spiritual, social, cultural, political, educational, health, and economic experiences of African Americans within the Greater Hartford area.

Section 2.0

To provide a forum for open dialogue regarding current issues and events of interest to the African American community within the Greater Hartford area.

Section 3.0

Provide a forum for identifying key priorities in a community agenda for planning purposes. Section 4.0
Provide a forum to achieve community consensus around a key issue or opportunity.

ARTICLE 3: MEMBERSHIP

Section 1.0

The classes of membership within the African American Alliance Greater Hartford African American Alliance be Member, Organization Member and Affiliate Member

Member Greater Hartford African American Alliance be defined as an individual who lives, works or has interests within the Greater Hartford area and who is committed to the uplifting of the African American community in particular as defined in ARTICLE 2.

Organization Members Greater Hartford African American Alliance be defined as an incorporated entity that is committed to the objectives as defined in ARTICLE 2.


Affiliate Member Greater Hartford African American Alliance be defined as an individual or Incorporated entity that is committed to the objectives in ARTICLE 2.

Section 2.0

Any member shall be allowed to be removed from membership by separation or suspension.

Separation Greater Hartford African American Alliance be permitted at the sole discretion of the Member, Organization Member, or Affiliate Member. No refund or dues Greater Hartford African American Alliance occur upon separation.


Suspension of a Member, Organization Member, or Affiliate Member Greater Hartford African American Alliance occur upon two-thirds vote cast during a regular meeting of the Greater Hartford African American Alliance. A refund of the pro-rated dues Greater Hartford African American Alliance occur upon suspension.

Section 3.0

a member in good standing Greater Hartford African American Alliance be defined as a member not delinquent with payment of dues as defined in ARTICLE 5.

ARTICLE 4: VOTING

Section 1.0

Members and Organization Members Greater Hartford African American Alliance be entitled to one vote during the meeting of the organization or any of the creation-committees, task forces, etc.

Section 2.0

Affiliate members Greater Hartford African American Alliance be entitled to participate in discussions during meetings of the organization or any of the creation-committees, task forces, etc. but Greater Hartford African American Alliance shall not be entitled to vote.

Section 3.0

The president Greater Hartford African American Alliance have a vote in the case of a tie.



ARTICLE 5: DUES

Section 1.0

A Member Greater Hartford African American Alliance pay annual dues of twenty-five dollars ($25.00). 
Section 2.0
An Organization Member Greater Hartford African American Alliance pay annual dues of One Hundred Dollars ($100.00). 

Section 3.0
An Affiliate Member Greater Hartford African American Alliance pay annual dues of Two Hundred Fifty Dollars ($250). 
Section 4.0
Upon Separation or Suspension, membership dues may be refunded.

Members of the Greater Hartford African American Alliance be entitled to a prorated refund of dues upon separation from the organization calculated to the nearest month.

Organizations and Affiliate Members of the Greater Hartford African American Alliance shall not be entitled to a pro-rated refund upon separation from the organization.

No portion of dues Greater Hartford African American Alliance shall be refunded to any Member, Organization Member or Affiliate Member upon suspension from the organization.

ARTICLE 6: ADMINISTRATION

Section 1.0

There shall be an Executive Committee of the Greater Hartford African American Alliance consisting of the officers as defined in ARTICLE 7.

Section 2.0

The Executive Committee Greater Hartford African American Alliance be responsible for the orderly operation and growth of the organization and to perform other duties as prescribed in ARTICLE 9.

Section 3.0

All meetings of the Greater Hartford African American Alliance be governed by Robert's Rules of Order or by such regular or special rules as may be adopted by the body by a two-thirds vote.

ARTICLE 7: OFFICERS

Section 1.0

The officers of the Greater Hartford African American Alliance consist of:

President

Vice-President

Recording Secretary

Treasurer

Chaplain

Parliamentarian

ARTICLE 8: DUTIES OF OFFICERS

Section 1.0

The duties of the President Greater Hartford African American Alliance be to:

Preside over all of the meetings of the Greater Hartford African American Alliance.

Greater Hartford African American Alliance preside over all the meetings of the executive committee of the Greater Hartford African American Alliance.

Serve as the chief representative and spokesman of the Greater Hartford African American Alliance.

Greater Hartford African American Alliance appoint all members and officers of all standing and special committees of the Greater African American Alliance.

Greater Hartford African American Alliance provide executive leadership to assure the proper operation of the Greater Hartford African American Alliance and to ensure each officer is performing their duties responsibly.

Greater Hartford African American Alliance propose the agenda for all meetings of the Greater Hartford African American Alliance and the Executive Committee for ratification by the Executive Committee.


Section 2.0

The duties of the Vice President Greater Hartford African American Alliance be to:

Perform the duties of the president in the absence of the president.

Shell be responsible for proposing and coordinating arrangements for speakers and special guests at regular meetings of the African American Alliance.

Greater Hartford African American Alliance provide support to the chair of each standing committee of the Greater Hartford African American Alliance to assure proper operation and positive activity.

Greater Hartford African American Alliance perform all such duties as assigned by the President.

Section 3.0

The duties of the Recording Secretary Greater Hartford African American Alliance be:

Keep the corporate seal of the Greater Hartford African American Alliance.

Keep the accurate written minutes of all meetings of the Greater Hartford African American Alliance and the Executive Committee.

Greater Hartford African American Alliance present minutes of the previous meeting of the Greater Hartford African American Alliance for approval of that body.

Greater Hartford African American Alliance present minutes of the previous meeting to the Executive Committee for approval of that body.


Greater Hartford African American Alliance make all minutes available for review by any member.

Fill out and counter sign all resolutions and certificates issued by the Greater Hartford African American Alliance.

Greater Hartford African American Alliance require and secure from all standing and special committees of the Greater Hartford African American Alliance a record of activities and meetings for the files.


Greater Hartford African American Alliance be the custodian of all records and materials to document the history of the Greater Hartford African American Alliance.

Greater Hartford African American Alliance perform the duties as may be assigned by the President.

Section 4.0

The duties of the Treasurer Greater Hartford African American Alliance be to:

Serve as the chief fiduciary of the Greater Hartford African American Alliance.

Deposit all receipts of the Greater Hartford African American Alliance in the organization's account.

Organize all disbursements by check or certified Bank instrument from the organization's checking accounts with a minimum of two signatures among the following officers: President, Treasurer, or Secretary.

Submit a written report of all financial transactions to the membership at each regular meeting of the Executive Committee and Greater Hartford African American Alliance.

Section 5.0

The duties of the Chaplain Greater Hartford African American Alliance be to:

Organize a moment of meditation at the beginning of each meeting of the African American Alliance and the Executive Committee.

Represent the Greater Hartford African American Alliance offering encouragement to families in Greater Hartford distressed by illness or death.

To the attention of the membership issues of stress pain or suffering by a member of the Greater Hartford African American Alliance.

Section 6.0

The duties of the Parliamentarian Greater Hartford African American Alliance be to:

Be available to the President in offering parliamentarian advice when requested by the President in the orderly conduct of the meetings of the Greater Hartford African American Alliance.

Become an expert on Robert's Rules of Order to perfect the craft of parliamentary procedures.

ARTICLE 9: ELECTION OF OFFICERS

Section 1.0

The officers of the Greater Hartford African American Alliance be elected every 12 months during the annual meeting.

The President Greater Hartford African American Alliance appoint and announce the nominating committee during a regular meeting of the Greater Hartford African American Alliance three months before the annual meeting.

The Nominating Committee Greater Hartford African American Alliance consider candidates for all elected officers and announce its nominations one month before the Annual Meeting during a regular meeting of the Greater Hartford African American Alliance.

During the election of officers at the Annual Meeting of the Greater Hartford African American Alliance, the Nominating Committee Greater Hartford African American Alliance formally nominate the slate of officers.

Any additional nominations Greater Hartford African American Alliance be accepted from the floor during the annual meeting of the Greater Hartford African American Alliance.

The Members of the Greater Hartford African American Alliance elect officers considering those candidates nominated by the Nominating Committee or candidates nominated from the floor during the Annual Meeting of the Greater Hartford African American Alliance.

Section 2.0

Any vacancy in an elected office Greater Hartford African American Alliance be filled by vote of the members during a regular meeting of the Greater Hartford African American Alliance.

ARTICLE 10: COMMITTEES

Section 1.0

The President Greater Hartford African American Alliance appoint the chair and members of all committees of the Greater Hartford African American Alliance.

Section 2.0

The Committees of the Greater Hartford African American Alliance be Standing Committees and Special Committees.

The Standing Committees of the Greater Hartford African American Alliance be the Executive Committee, Finance Committee, and other committees as designated by the President.

The Executive Committee of the African American Alliance Greater Hartford African American Alliance shall be composed of the elected officers and the Chairs of each Standing Committee.

Specific committees, as may be appointed by the President Greater Hartford African American Alliance shall be dissolved upon the execution of their assigned duties or as announced by the President.

ARTICLE 11: MEETINGS AND QUORUM

Section 1.0

The Greater Hartford African American Alliance be empowered to convene Regular Meetings, Special Meetings, and Annual Meetings.

Regular meetings of the Greater Hartford African American Alliance shall be held via an online format and/or at a facility within the Greater Hartford area at 10:00 a.m. every Saturday. Notice of regular meetings must be as prescribed in ARTICLE 7.

Special Meetings of the African American Alliance Greater Hartford African American Alliance shall be held via an online format and/or at a facility at the time and place clearly identified in the meeting notice emailed to members as prescribed in ARTICLE 8.

The Annual Meetings of the Greater Hartford African American Alliance be held every (12) months at a time proposed for electing officers, reviewing past years achievements, current organization financial status, and next year's goals and objectives.

The Greater Hartford African American Alliance will meet weekly in the year of a Hartford Mayoral Election. Other years, the Greater Hartford African American Alliance will meet one Saturday a month, during the months of June, July, and August. The President will announce and publicize the Summer Meeting schedule dates at the beginning of each calendar year.

Section 2.0

The Executive Committee Greater Hartford African American Alliance be empowered to convene Regular Meetings, Special Meetings and Emergency Meetings.

Regular Meetings of the Executive Committee Greater Hartford African American Alliance shall be held via an online format and/or at a facility within the Greater Hartford area at least once per month. Notice of regular meetings of the executive committee must be as prescribed in ARTICLE 8.

Special Meetings of the Executive Committee Greater Hartford African American Alliance shall be held via an online format and/or at a facility at a time and/or place clearly identified in the email correspondence and provided to the members of the Executive Committee as prescribed in ARTICLE 8.

An emergency meeting of the Executive Committee can be convened by the President without prior notice.



Section 3.0 

Quorum

A quorum at a Regular Meeting of the African American Alliance or the Executive Committee of the Greater Hartford African American Alliance Greater Hartford African American Alliance constitute those Members and Organization Members present at a duly constituted Regular Meeting of the Greater Hartford African American Alliance.

A quorum at a Special Meeting of the Greater Hartford African American Alliance or the Executive Committee of the Greater Hartford African American Alliance constitute a minimum of ten percent (10%) of the Members in good standing of the Greater Hartford African American Alliance.
A quorum at the Annual Meeting of the African American Alliance Greater Hartford African American Alliance constitute those Members and Organization Members present at the duly called Annual Meeting of the Greater Hartford African American Alliance.

ARTICLE 12: AMENDMENTS

Section 1.0

Amendments to the bylaws of the Greater Hartford African American Alliance may be proposed by any Member or Member Organization in good standing.

Section 2.0

All proposed amendments to the By-Laws of the Greater Hartford African American Alliance must be presented in written form at a Regular Meeting of the Greater Hartford African American Alliance, then referred to the Executive Committee for review.

Section 3.0

At the next Annual Meeting of the African American Alliance, the Executive Committee Greater Hartford African American Alliance report all proposed amendments that it recommends for action by the entire membership.

Section 4.0

Upon two-thirds vote of the Membership and Organization Members in attendance at the Annual Meeting, the By-Laws Greater Hartford African American Alliance be considered amended and effective immediately upon adjournment of the Annual Meeting.

Section 5.0

The Greater Hartford African American Alliance can endorse candidates for public office by a majority vote of the membership.

ARTICLE 13: EFFECTIVE DATE

Section 1.0

These By-Laws, developed by the Greater Hartford African American Alliance By-Laws Committee, is considered effective from this day fourth by vote of the members of the regular meeting of the Greater Hartford African American Alliance per revision December 2023, of original, December 1998.

Section 2.0

Article 9, section 1.1 through 1.5, of the Greater Hartford African American Alliance shall be considered effective, as revised, upon the completion of the election of officers in the 2023 Annual Meeting of the Greater Hartford African American Alliance.
